Allgemeine Geschäftsbedingungen (AGB) für Software-as-a-Service (SaaS) auf SAP BTP

1. Geltungsbereich
- Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für alle Verträge zwischen der
- networker variant GmbH („Anbieter“)
- und dem jeweiligen Kunden über die Nutzung von Softwarelösungen, die über die SAP Business Technology Platform (SAP BTP) bereitgestellt werden („Software“).
- Abweichende, entgegenstehende oder ergänzende Bedingungen des Kunden werden nicht Vertragsbestandteil, es sei denn, der Anbieter stimmt ihrer Geltung ausdrücklich schriftlich zu.
- Diese AGB gelten ausschließlich gegenüber Unternehmern im Sinne des § 14 BGB.
2. Vertragsgegenstand
- Der Anbieter stellt dem Kunden die Software über die SAP Business Technology Platform (SAP BTP) als Software-as-a-Service (SaaS) zur Verfügung.
- Die Software wird auf der technischen Infrastruktur der SAP SE, Dietmar-Hopp-Allee 16, 69190 Walldorf, Deutschland („SAP“), betrieben. Der Anbieter nutzt die SAP BTP als Hotsing-Umgebung, ist jedoch nicht Betreiber dieser Plattform.
- Der Anbieter gewährleistet die ordnungsgemäße Bereitstellung und Konfiguration der Software innerhalb der SAP BTP. Die technische Verfügbarkeit, Performance und Betriebssicherheit der zugrunde liegenden Plattform liegen im Verantwortungsbereich von SAP gemäß deren Nutzungsbedingungen.
- Der konkrete Funktionsumfang der Software ergibt sich aus der jeweils gültigen Leistungsbeschreibung oder dem individuellen Vertrag zwischen Anbieter und Kunde.
3. Nutzungsrechte
- Der Kunde erhält ein einfaches, nicht übertragbares und nicht unterlizenzierbares Recht, die Software während der Vertragslaufzeit bestimmungsgemäß zu nutzen.
- Die Nutzung ist ausschließlich für die internen Geschäftszwecke des Kunden gestattet.
- Der Kunde darf die Software nicht vervielfältigen, dekompilieren, zurückentwickeln, verändern oder in anderer Weise bearbeiten, es sei denn, dies ist gesetzlich zwingend gestattet.
4. Verfügbarkeit und Leistungsumfang
- Der Anbieter stellt die Software mit einer jährlichen Verfügbarkeit von 98 % bereit, bezogen auf den Betriebszeitraum der SAP BTP.
- Zeiten geplanter Wartung oder von der SAP BTP verursachter Ausfälle gelten nicht als Nichtverfügbarkeit im Sinne dieser Vereinbarung.
- Die Verantwortung des Anbieters erstreckt sich ausschließlich auf die Software und deren Funktionsfähigkeit innerhalb der SAP BTP. Für Betriebsunterbrechungen, Performanceeinschränkungen oder sonstige Störungen der BTP selbst haftet ausschließlich SAP gemäß deren eigenen Servicebedingungen.
- Der Anbieter ist berechtigt, die Software weiterzuentwickeln und technische Anpassungen vorzunehmen, sofern dadurch keine wesentliche Einschränkung der vereinbarten Hauptleistung erfolgt.
5. Pflichten des Kunden
- Der Kunde ist verpflichtet, die Software nur im Rahmen der vereinbarten Nutzung zu verwenden.
- Der Kunde hat angemessene Vorkehrungen zu treffen, um den unbefugten Zugriff Dritter auf die Software zu verhindern (z. B. durch sichere Passwörter).
- Der Kunde ist selbst verantwortlich für die Anbindung an das Internet und für eventuell erforderliche SAP-Benutzerlizenzen.
6. Preise und Zahlungsbedingungen
- Die Vergütung richtet sich nach dem jeweils gültigen Angebot oder Vertrag.
- Alle Preise verstehen sich zzgl. der jeweils gültigen gesetzlichen Umsatzsteuer.
7. Support und Wartung
- Der Anbieter bietet Support gemäß den im Vertrag vereinbarten Service-Leveln.
- Störungen der Software hat der Kunde unverzüglich an den Anbieter zu melden.
- Der Anbieter wird gemeldete Störungen nach Maßgabe seiner technischen und betrieblichen Möglichkeiten beseitigen.
- Soweit Störungen durch die SAP BTP verursacht werden, unterstützt der Anbieter den Kunden bei der Eskalation gegenüber SAP, übernimmt jedoch keine Haftung für deren Behebung.
8. Haftung
- Der Anbieter haftet für Schäden nur, soweit diese auf vorsätzlichem oder grob fahrlässigem Verhalten
- Bei leicht fahrlässigen Pflichtverletzungen haftet der Anbieter nur, sofern eine wesentliche Vertragspflicht („Kardinalpflicht“) verletzt wurde, und beschränkt auf den typischerweise vorhersehbaren Schaden.
- Eine weitergehende Haftung, insbesondere für entgangenen Gewinn, mittelbare Schäden oder Datenverluste, ist ausgeschlossen.
- Die Haftung für Ausfälle, Störungen oder Datenverluste, die durch die SAP BTP verursacht werden, ist ausgeschlossen; es gilt ausschließlich der Haftung der SAP SE gemäß deren eigenen Nutzungsbedingungen.
- Die Haftung nach dem Produkthaftungsgesetz und für Schäden aus der Verletzung von Leben, Körper oder Gesundheit bleibt unberührt.
9. Datenschutz und Datensicherheit
- Der Anbieter verarbeitet personenbezogene Daten ausschließlich im Rahmen der geltenden Datenschutzgesetze.
- Soweit erforderlich, wird zwischen Anbieter und Kunde ein separater Auftragsverarbeitungsvertrag (AVV) gemäß Art. 28 DSGVO geschlossen.
- Die Datenverarbeitung und -speicherung erfolgt ausschließlich auf der SAP BTP. Die Einhaltung der einschlägigen Sicherheits- und Compliance-Standards (z. B. ISO 27001, DSGVO-Konformität) obliegt SAP.
- Der Anbieter verpflichtet sich, die auf der BTP gespeicherten Daten vertraulich zu behandeln und geeignete technische und organisatorische Maßnahmen zur Datensicherheit zu treffen.
10. Laufzeit und Kündigung
- Der Vertrag wird für die im Angebot oder Vertrag festgelegte Laufzeit geschlossen.
- Der Vertrag verlängert sich jeweils automatisch um 12 Monate, sofern er nicht mit einer Frist von 3 Monaten zum Ende der Vertragslaufzeit schriftlich gekündigt wird.
- Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt.
11. Änderungen der AGB
- Der Anbieter kann diese AGB mit Wirkung für laufende Verträge ändern, sofern die Änderungen für den Kunden zumutbar sind.
- Über Änderungen wird der Kunde in Textform informiert. Widerspricht der Kunde nicht innerhalb von 30 Tagen, gelten die Änderungen als angenommen.
12. Schlussbestimmungen
- Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
- Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit diesem Vertrag ist der Sitz des Anbieters.
- Sollte eine Bestimmung dieser AGB unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.

1. Scope of Application
- These General Terms and Conditions (GTC) apply to all contracts between
(1) networker variant GmbH (“Provider”) and
(2) the respective customer concerning the use of software solutions provided via the SAP Business Technology Platform (SAP BTP) (“Software”).
- Any deviating, conflicting, or supplementary terms and conditions of the customer shall not become part of the contract unless the Provider expressly agrees to their validity in writing.
- These GTC apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB).
2. Subject Matter of the Contract
- The Provider makes the Software available to the customer via the SAP Business Technology Platform (SAP BTP) as a Software-as-a-Service (SaaS) solution.
- The Software is operated on the technical infrastructure of SAP SE, Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany (“SAP”). The Provider uses SAP BTP as a hosting environment but is not the operator of this platform.
- The Provider ensures the proper provisioning and configuration of the Software within SAP BTP. The technical availability, performance, and operational security of the underlying platform are the responsibility of SAP in accordance with its own terms of use.
- The specific functional scope of the Software is defined in the applicable service description or the individual agreement between the Provider and the customer.
3. Rights of Use
- The customer is granted a simple, non-transferable, and non-sublicensable right to use the Software for the duration of the contract in accordance with its intended purpose.
- The Software may be used solely for the customer’s internal business purposes.
- The customer may not reproduce, decompile, reverse-engineer, modify, or otherwise alter the Software unless such action is expressly permitted by law.
4. Availability and Scope of Services
- The Provider shall make the Software available with an annual availability of 98%, based on the operating time of SAP BTP.
- Periods of planned maintenance or outages caused by SAP BTP shall not be considered unavailability within the meaning of this agreement.
- The Provider’s responsibility is limited exclusively to the Software and its functionality within SAP BTP. For operational interruptions, performance limitations, or other disruptions of the BTP itself, SAP alone is liable under its own service conditions.
- The Provider is entitled to further develop the Software and make technical adjustments, provided that no material limitation of the agreed core functionality occurs.
5. Customer Obligations
- The customer shall use the Software only within the agreed scope of use.
- The customer shall take reasonable precautions to prevent unauthorized third-party access to the Software (e.g., by using secure passwords).
- The customer is responsible for internet connectivity and for any required SAP user licenses.
6. Prices and Payment Terms
- The remuneration is based on the applicable offer or contract.
- All prices are exclusive of the applicable statutory value-added tax (VAT).
7. Support and Maintenance
- The Provider offers support in accordance with the service levels agreed in the contract.
- The customer shall report any disruptions of the Software to the Provider without delay.
- The Provider will remedy reported disruptions within the scope of its technical and operational capabilities.
- Insofar as disruptions are caused by SAP BTP, the Provider will assist the customer in escalating the issue to SAP but assumes no liability for its resolution.
8. Liability
- The Provider is liable for damages only if caused by intent or gross negligence.
- In the event of slight negligence, the Provider is only liable if a material contractual obligation (“cardinal duty”) has been breached, and such liability is limited to the typically foreseeable damage.
- Any further liability, in particular for loss of profit, indirect damages, or data loss, is excluded.
- Liability for outages, disruptions, or data loss caused by SAP BTP is excluded; only the liability provisions of SAP SE under its own terms of use shall apply.
- Liability under the German Product Liability Act (ProdHaftG) and for damages resulting from injury to life, body, or health remains unaffected.
9. Data Protection and Data Security
- The Provider processes personal data exclusively in compliance with applicable data protection laws.
- Where required, a separate Data Processing Agreement (DPA) pursuant to Art. 28 GDPR shall be concluded between the Provider and the customer.
- Data processing and storage take place exclusively on SAP BTP. Compliance with relevant security and compliance standards (e.g., ISO 27001, GDPR compliance) is the responsibility of SAP.
- The Provider undertakes to treat data stored on BTP as confidential and to implement appropriate technical and organizational measures to ensure data security.
10. Term and Termination
- The contract is concluded for the term specified in the offer or contract.
- The contract shall automatically renew for successive 12-month periods unless terminated in writing with three (3) months’ notice prior to the end of the current term.
- The right to terminate for cause remains unaffected.
11. Amendments to the GTC
- The Provider may amend these GTC for ongoing contracts, provided that the amendments are reasonable for the customer.
- The customer will be notified of any amendments in text form. If the customer does not object within 30 days, the amendments shall be deemed accepted.
12. Final Provisions
- These GTC are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is the Provider’s registered office.
- Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
